Worldwide Quest Terms & Conditions of Use

WORLDWIDE QUEST INTERNATIONAL INC. (“Worldwide Quest”, “Worldwide Quest Inc.”, “we”, “us” and terms of similar meaning) provides the Services, including but not limited to (a) access to the Site; (b) access to the Web Application; and (c) access to Trip booking services, subject to these terms and conditions of use (“Terms”). An updated copy of these Terms will be available through the Web Application and on www.worldwidequest.com (the “Site”).

Please read through these Terms carefully before using the Services. By accessing or using the Services you agree to be legally bound by these Terms and all terms, policies and guidelines incorporated by reference in these Terms. If you do not agree with these Terms in their entirety, you may not use the Services. All Trips are subject to the Travel Industry Act (Ontario) (the “Act”).

1. Definitions
(a) “Account Portal” means the account and trip information accessed through the Web Application’s dashboard.
(b) “Content” means content on the Web Application and the Site, including but not limited to all text, information, data, logos, marks, designs, graphics, pictures and other files, and their selection and arrangement.
(c) “Participant” means the individual participating in the Trip.
(d) “Services” means the services provided by Worldwide Quest, the Web Application and on the Site.
(e) “Trip” means any trip booked using Worldwide Quest’s Services, including Trips and private journeys.
(f) “User” means an individual user of the Services and can include a User who represents a company.
(g) “Web Application” or “Trip Manager” means the Worldwide Quest trip manager web application and any additional software provided.

2. Trip Manager
Trip Manager is a web application that permits Users to (a) access Trip information associated with the User; (b) view and edit Account Portal information; and (c) view the tasks connected to a Trip.

The Services are not intended to be used by children. You must be at least eighteen (18) years of age to use the Services.

3. Privacy Policy
Please refer to Worldwide Quest’s privacy policy by clicking here (“Privacy Policy”) for information on how Worldwide Quest collects, uses and discloses personally identifiable information from Users. By using the Services, you agree to our use, collection and disclosure of personally identifiable information in accordance with the Privacy Policy.

4. User Account and Account Security
A Trip Manager account (“User Account”) will be created for you upon registering for your Trip
and our receipt of your Initial Deposit, using the information you included during the submission of your booking (“Registration Data”). Your User Account information will be sent to you in a confirmation e‐mail.

When booking a Trip and/or using your User Account, you agree to (a) provide accurate, current and complete Registration Data as may be prompted on applicable booking forms and the Web Application; (b) maintain the security of your password; (c) maintain and promptly update the Registration Data, and any other information you provide to the Web Application; and (d) accept all risks of unauthorized access to the Registration Data and any other information you provide to the Web Application. You are responsible for all activity on your Web Application account, including the activity performed on the Web Application through your User Account by an agent, representative, employee or any other person acting on your behalf.

5. Ownership, Copyright and Trademarks
Content provided by Users is called “User Content”. User Content is the property of its respective owners (e.g. the User that inputted it). User Content on the Web Application may include written reviews and images uploaded to the Web Application, and other information, data, images and text uploaded by a User to the Web Application.

Worldwide Quest’s only right to use that User Content is the limited licenses to it granted in these Terms. Those licenses are described in Section 7 of these Terms.

Your User Content is your responsibility. We have no responsibility or liability for it, or for any loss or damage your User Content may cause to you or other people. Although we have no obligation to do so, we have the absolute discretion to remove, screen or edit without notice any User Content posted or stored on the Services, and we may do this at any time and for any reason. You are solely responsible for maintaining copies of and replacing any User Content you post or store on the Services.

Other than User Content, the Services, the Web Application, all Content and any other software used to create and operate the Services is the property of Worldwide Quest or its licensors, and is protected by Canadian and international copyright laws, and all rights to Services, such Content and such software are expressly reserved. All trademarks, registered trademarks, product names and company names or logos mentioned in the Web Application are the property of their respective owners.

6. License to Use the Site and Web Application, and License Restrictions
Worldwide Quest grants to you a revocable, non‐exclusive, non‐sublicensable license to use the Site and Web Application, to access the Services and to view the Content available to you through the Services (the “License”).

Other than as expressly permitted in these Terms, the Content and the License are subject to the following restrictions and account terms:
(a) The Services we provide through the Site and the Web Application are for your use only. You may not resell, lease or provide them in any other way to anyone else, except as permitted.
(b) You may not make or distribute copies of the Site, the Web Application, the Content or the Services.
(c) You may not alter, merge or translate the Site, the Web Application, the Content or the Services, or decompile, reverse engineer, disassemble or otherwise reduce the Site, the Web Application, the Content or the Services to a human‐perceivable form.
(d) You may not modify or create derivative works based on the Site, the Web Application, the Content or the Services.
(e) You may not use the Site, the Web Application, the Content or the Services for any application deployment or ultimate production purpose.
(f) You may not use the Site, the Web Application, the Content or the Services to develop any application having the same or similar primary function as the Site, the Web Application, the Content or the Services.
(g) You may not remove or modify any copyright, trademark or other proprietary notices that have been placed in the Content.
(h) You may not otherwise use the Site, the Web Application, the Content or the Services other than for its intended purpose.
(i) Except as expressly permitted above, any use of any portion of the Content without the prior written permission of its owner is strictly prohibited and will terminate the license granted in this Section, this Agreement and your User Account with us. Any such unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws.
(j) Unless explicitly stated herein, nothing in these Terms may be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. The licenses in this Section are revocable by Worldwide Quest at any time.
(k) Your use of the Site, the Web Application, the Content, or the Services must not infringe or violate the rights of any other party, breach any contract or legal duty to any other parties or violate any applicable law.
(l) Your use of the Site, the Web Application, the Content or the Services must comply with the User Content Guidelines outlined in Section 8 of these Terms.

7. Your Limited License for User Content to Worldwide Quest
We do not claim any ownership interest in your User Content, but we do need the right to use your User Content to the extent necessary to operate the Web Application and provide the Services, now and in the future.

Therefore, by uploading User Content, you (a) grant Worldwide Quest and its affiliates and subsidiaries a non‐exclusive, royalty‐free, transferable right to use, display, perform, reproduce, distribute, publish, modify, adapt, translate and create derivative works from such User Content, in the manner in and solely for the purposes which the Services from time to time use such User Content; (b) represent and warrant that (i) you own and control all of the rights to the User Content, or otherwise have the lawful right to upload that User Content to or through the Services; and (ii) the use or other transmission of such User Content does not violate these Terms (including the User Content Guidelines described in Section 8) and will not violate any rights of or cause injury to any person or entity. Your User Content will be used in accordance with our Privacy Policy.

8. User Content Guidelines
User Content submitted to any public area of the Services or area that can be viewed by other Users will be considered non‐confidential. You agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Services any of the following:
(a) Any data, information, text, photos, graphics, code or other material that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, racist, prejudiced, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable in the sole opinion of Worldwide Quest;
(b) Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party or that would otherwise create liability or violate any local, provincial, state, national or international law;
(c) Content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
(d) Private information of any third party, including without limitation, addresses, phone numbers, email addresses and credit card numbers, unless that third party has expressly consented to such use;
(e) Viruses, corrupted data or other harmful, disruptive or destructive files;
(f) Content that is unrelated to the use of the Site or the Web Application; or
(g) Content that in the sole judgment of Worldwide Quest, is objectionable or which restricts or inhibits any other person from using or enjoying the Site, the Web Application or the Services, or which may expose Worldwide Quest or its affiliates or its Users to any harm or liability of any type.

Any use of the Site, the Web Application or portions of the Services in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Site, the Web Application or the Services.

9. Deposits and Payments

Subject to these Terms and Trip specific terms included on the Site, you may be required to pay (a) a registration fee and/or (b) one or more non-refundable deposits (collectively, the “Trip Deposit”), as described at the time of booking. The Trip Deposit will be applied towards the payment of the balance of your total Trip Price. Upon receipt of your Trip Deposit, you will receive a confirmation e‐mail with your User Account information, a summary of your booking and the applicable payment schedule for the balance of the Trip Price. By submitting payment for a Trip Deposit, you hereby agree to be bound by these Terms.

If the balance of the Trip Price is not paid in full by the due date described in the booking confirmation e-mail, your Trip will be considered as cancelled.

We accept payment only in Canadian or US dollars. All payments may be made by cash, cheque, direct bank or wire transfer, or credit card (VISA or MasterCard), processed via online service providers, or by contacting our offices. By contacting our offices and/or by otherwise providing us credit card or other payment information, you expressly authorize us to charge your credit card or bank account, which payment shall be applied toward your Trip Deposit or the balance of a Trip Price. Worldwide Quest reserves the right, in its sole discretion, to update its payment methods or change payment service providers by giving you reasonable advance notice. It is your responsibility to carefully read and agree to any terms of service or privacy policy of any payment service providers Worldwide Quest may use from time-to-time. We have no responsibility or liability for any loss or damage you may sustain that is caused by any practices, actions, or breaches, relating to any payment service provider we may use.

Notwithstanding the payment of any Trip Deposit or the balance of a Trip Price, Trips are not confirmed as operating until all Participants have paid in full. For further information about our Refund and Cancellation Policies, please see Section 15 below.

10. Travel Insurance
We strongly recommend that you obtain adequate cancellation and trip interruption insurance should an unexpected event occur or should your trip become inoperable for reasons beyond Worldwide Quest’s control. Emergency medical insurance is mandatory. Proof of insurance coverage is required.

You must have travel insurance with medical, evacuation and repatriation coverage covering all applicable dates of travel with your Trip. This insurance must cover personal injury and emergency medical expenses. Prior to departure Worldwide Quest may request confirmation that you have sufficient insurance in place. You are strongly recommended to extend your coverage to include cancellation, curtailment, and all other expenses that may arise as a result of loss, damage, injury, delay or inconvenience while traveling. You acknowledge that insurance coverage is not included in the cost of any trip offered by Worldwide Quest and you are required to obtain separate coverage at an additional cost. It is your responsibility to ensure that you have sufficient coverage and comply with the terms of the applicable insurance plans. You are responsible for advising your insurer of the type of travel, destination(s) and activities included in your booking so that the insurer may provide appropriate coverage.

You hereby acknowledge that failure to obtain the requisite insurance may result in the cancellation of your booking and forfeiture of your Trip Deposits.

You waive and shall not assert any claims or allegations of any nature whatsoever against Worldwide Quest, its affiliates or subsidiaries, their contractors, vendors, or other partners, any of their successors or assigns, or any of their respective officers, directors, agents, or employees (collectively, the “Released Parties”) for any losses or costs related to inadequate or non‐existent travel insurance. Please review your travel insurance policy in detail.

11. Tickets and Travel Documents
Tickets and other Trip documents will be provided to the Trip Participant approximately three (3) weeks prior to departure. Participants assume full responsibility for any loss or damage to their tickets and documents before and during the Trip and will incur any and all applicable penalties for any re‐issues, plus an administration charge of CAD$250 per person. Trip Participants are responsible for the preparation and protection of their travel documents, including passports, visas and other identification and documents, before and during the Trip.

12. Airlines and Airfares

Worldwide Quest cannot be held responsible for any flight arrangements. Please do not make any non‐refundable air arrangements until the Trip is confirmed as operating. Worldwide Quest cannot accept any responsibility for the late arrival of flights and any delay that results in missing the departure or in incurring additional expenses. The Participant is responsible for notifying Worldwide Quest of any delay or change in air itinerary.

Brochures, reservation forms and these Terms are not issued on behalf of, and do not commit to, any airline whose services are used or proposed to be used in the course of the Trip. Airfares arranged through Worldwide Quest will be subject to the rules and regulations as determined by the air carrier. Carriage is subject to the rules and limitations established by the Warsaw Convention unless such carriage is not “international carriage” as defined by that Convention. All flight times, flight itineraries and carriers are subject to change with or without notice.

13. Personal Health and Fitness
Participants are responsible to ensure they are fit for their chosen Trip. You should consult your physician to confirm your fitness for travel and participation in any planned activities. You should seek your physician’s advice on vaccinations and medical precautions. Worldwide Quest does not provide medical advice. It is your responsibility to assess the risks and requirements of each aspect of the Trip based on your own unique circumstances, limitations, fitness level, and medical requirements.

Worldwide Quest may require a medical questionnaire to be completed and returned as proof that you are fit to participate in certain Trips. Worldwide Quest reserves the right to deny you permission to travel or participate in any aspect of a trip at any time and at your own risk and expense where Worldwide Quest determines that your physical or mental condition renders you unfit for travel or you represent a danger to yourself or others. In addition, a Worldwide Quest Trip leader may, during a Trip, direct any Participant to withdraw from the Trip, if he or she believes that the Participant is incapable or that the Participant’s continued participation in the Trip will adversely affect that Participant, other Trip Participants or the success of the Trip. No refund will be payable in these circumstances.

Trips may take place in remote areas where there is little or no access to normal medical services or hospital facilities. Where necessary, evacuation can be prolonged, difficult, and expensive. Medical and evacuation expenses are the responsibility of the Participant.

14. Group Participation
In response to many requests from travellers on our group Trips, we will send out a list of our Trip participants with postal and email addresses with the Travel Document package approximately three weeks prior to departure. If you do not wish to have your contact information included on the list, you must notify us in writing a minimum of one month prior to the Trip’s departure date.
We often receive photographs taken by our leaders or our participants while on Trip. You agree that, while participating in any Trip, images, photos, or videos may be taken by other participants, Worldwide Quest, or its representatives that may contain or feature you or your likeness. You consent to any such pictures being taken and grant a perpetual, royalty-free, worldwide, irrevocable license to Worldwide Quest, its contractors, sub-contractors and assigns, to reproduce for any purpose whatsoever (including marketing, promotions and the creation of promotional materials by or with sub-licensees), in any medium whatsoever, whether currently known or hereinafter devised, without any further obligation or compensation payable to you. If you do not wish your image to be used, you must notify us in writing a minimum of one month prior to your departure date.

15. Trip Cancellations, Transferring a Trip, and Refunds

By accepting these Terms or by accessing the Services, you represent that you have read and agreed to the terms of our Trip Cancellation and Refund Policy, incorporated into and subject to these Terms.
 
16. Force Majeure
Worldwide Quest will not be liable in any way for death, bodily injury, illness, damage, delay or other loss or detriment to person or property, or financial costs both direct and indirect incurred, or for Worldwide Quest’s failure to commence, perform or complete any duty owed to you if such death, delay, bodily injury (including emotional distress or injury), illness, damage or other loss or detriment to person or property is caused by an Act of God, war or war-like operations, mechanical breakdowns, terrorist activities or threat thereof, civil commotions, labor difficulties, interference by authorities, political disturbance, howsoever and where so ever any of the same may arise or be caused, riot, insurrection and government restraint, fire, extreme weather, the imposition of a Canadian government directive to “Avoid all travel”, “Avoid non-essential travel”, or “Avoid all cruise ship travel”, or similar directives, policies or restrictions), significant risks to human health such as the outbreak of serious disease, pandemic or epidemic, including any mutation or variation of, and the ongoing effects of, Covid-19 or SARs-COV2, or any other cause whatsoever beyond the reasonable control of the Trip Operator or the third party supplier of services, whether or not foreseeable, which would make it dangerous or not viable for a Trip to commence or continue, any and all of which, individually and collectively, constitute “Force Majeure”.

17. Security of the Site and Web Application

To ensure reliability and to protect the User Content, we use high grade hosting services and security technologies that we believe will provide you with a secure and safe environment. For example, all content within Trip Manager relies on Secure Sockets Layer (SSL) software which encrypts information that you input or view. Access to your personal and private information is limited to authorized employees only. We keep our employees informed about our policies and procedures. Unauthorized access and/or disclosure of client information are strictly prohibited. All of our employees are expected to maintain the confidentiality of customer information at all times. However, no system is perfectly secure or reliable. The internet is an inherently insecure medium, and the reliability of hosting services, internet intermediaries, your internet service provider and other service providers cannot be assured. When you use the Site or the Web Application, you accept these risks and the responsibility for choosing to use a technology that cannot guarantee complete security and reliability.

18. Warranty Disclaimer
THE SITE, THE WEB APPLICATION, THE CONTENT AND THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS” BASIS WITHOUT WARRANTIES FROM WORLDWIDE QUEST OF ANY KIND, EITHER EXPRESS OR IMPLIED. WORLDWIDE QUEST EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON‐INFRINGEMENT. WORLDWIDE QUEST DOES NOT REPRESENT OR WARRANT THAT THE SITE, THE WEB APPLICATION, THE CONTENT, AND THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR‐FREE, AND EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION AS TO THE ACCURACY OR PROPRIETARY CHARACTER OF THE SITE, THE WEB APPLICATION, THE CONTENT, THE SERVICES OR ANY PORTION THEREOF. DIFFERENT LIVING STANDARDS AND CONDITIONS MAY EXIST OUTSIDE OF CANADA, INCLUDING BUT NOT LIMITED TO (A) PROVISION OF UTILITIES, SUCH AS WATER AND ELECTRICITY; (B) ACCOMMODATIONS; (C) SERVICES OF ALL KINDS; (D) FOOD AND FOOD PREPARATION; AND (E) WATER QUALITY.
WORLDWIDE QUEST SHALL NOT BE HELD RESPONSIBLE FOR ANY LOSS, DAMAGE, INJURY OR INCONVENIENCE RESULTING FROM SUCH LIVING STANDARDS AND PRACTICES.


19. Limitation of Liability and Indemnity

You waive and shall not assert any claims or allegations of any nature whatsoever against Worldwide Quest and the Related Parties arising out of or in any way relating to your use of the Site, the Web Application, the Services or the Content, including, without limitation, any claims or allegations relating to the alleged infringement of proprietary rights, alleged inaccuracy of Content or Services, or allegations that any Released Party has or should indemnify, defend or hold harmless you or any third party from any claim or allegation arising from your use or other exploitation of the Site or the Web Application.

You use the Site and the Web Application at your own risk.
Without limitation of the foregoing, neither Worldwide Quest nor any other Released Party shall be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of the Web Application or the Content, including without limitation any damages caused by or resulting from your reliance on the Site, the Web Application or other information obtained from Worldwide Quest or any other Released Party or accessible via the Site or the Web Application, or that result from mistakes, errors, omissions, interruptions, deletion of User Content or other data, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction or unauthorized access to Worldwide Quest, any User or any other Released Party's records, programs or services.

All Services are organized by Worldwide Quest acting as agent for the owners, contractors and suppliers providing ground transportation, hotel accommodations and all other related travel services. Notice is hereby given that all arrangements on behalf of Participants are made by Worldwide Quest on the sole condition that Worldwide Quest shall not be held responsible for any injury, death, accident, delay, loss, damage or irregularity which may be occasioned through acts of any company and/or persons engaged in carrying out arrangements and services described herein or otherwise in connection herewith. The information contained in current brochures and websites is correct to the best of our knowledge, but Worldwide Quest accepts no liability for any inaccuracies. Worldwide Quest reserves the right to alter any itinerary or service at any time without penalty to it. Any additional expense or cancellation cost shall be borne by the Participant. Worldwide Quest reserves the right to withdraw or refuse any service to any Participant at its discretion. In no event shall the aggregate liability of Worldwide Quest, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of the Site, the Web Application, the Content or the Services exceed any amount paid by you for access to the Site, the Web Application, the Content or Services during the three (3) months prior to the date of any claim, if any.

You shall defend, indemnify and hold harmless Worldwide Quest and the other Released Parties from any loss, damages, liabilities, costs, expenses, claims and proceedings arising out of your use of the Site, the Web Application or the Services and from the use of the Site, the Web Application or the Services by any person to whom you give access to your User Account.

20. Communications
Notices that we give you (other than notice of amendment of these Terms, which is discussed in the introduction of these Terms) may be provided in any of the following ways. First, we may email you at the contact information you provide in your Registration Data. Second, we may post a notice on the Site or the Web Application. When we post notices on the Site or the Web Application, we post them in the area of the Site or the Web Application suitable to the notice. It is your responsibility to periodically review the Site and the Web Application for notices.

21. Applicable Law and Venue

The Site and the Web Application are controlled by Worldwide Quest and operated by it from its offices in Toronto, Ontario. You and Worldwide Quest both benefit from establishing a predictable legal environment in regard to the Services. Therefore, you and Worldwide Quest explicitly agree that all disputes, claims or other matters arising from or relating to your use of the Services will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. Except where prohibited by applicable law, any claim, dispute or controversy (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future) arising out of or relating to (a) these Terms; (b) the Services, Web Application or Content; (c) oral or written statements relating to these Terms or to the Services; or (d) the relationships that result from these Terms or the Site, Services, Web Application or Content (collectively, a “Claim”) will be referred to and determined by a sole arbitrator (to the exclusion of the courts).

Except where prohibited by applicable law, you waive any right you may have to commence or participate in any class action against Worldwide Quest related to any Claim and, where applicable, you also agree to opt out of any class proceedings against Worldwide Quest. If you have a Claim, you should give written notice to arbitrate at the address specified below. If we have a Claim, we will give you notice to arbitrate at your address provided in your Registration Data. Arbitration will be conducted by one arbitrator pursuant to the commercial arbitration laws and rules in effect on the date of the notice in the Province of Ontario. Notwithstanding the foregoing, either party may seek injunctive relief in court. To the extent arbitration as described in the immediately preceding paragraph is prohibited by applicable law, you agree that all Claims will be heard and resolved in a court of competent subject matter jurisdiction located in Toronto, Ontario. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.

If you choose to access the Services from locations other than Ontario, you will be responsible for compliance with all local laws of such other jurisdiction and you agree to indemnify Worldwide Quest and the other Released Parties for your failure to comply with any such laws.

22. Termination/Modification of License and Site Offerings

Notwithstanding any provision of these Terms, Worldwide Quest reserves the right, without notice and in its sole discretion, without any notice or liability to you, to (a) terminate your License to use the Site or the Web Application, or any portion thereof; (b) block or prevent your future access to and use of all or any portion of the Site, the Web Application or the Content; (c) change, suspend or discontinue any aspect of the Site, the Web Application or the Content; and (d) impose limits on the Site, the Web Application or the Content. When your account is terminated, any User Content you have uploaded to the Site and the Web Application may remain on the Site or the Web Application.

If these Terms expire or terminate for any reason, Sections 5, 7, 8, 17, 18, 19, 20, 21, 22 and 23, and any representation or warranty you make in these Terms, shall also survive indefinitely.

23. Modification of Terms
Worldwide Quest reserves the right to change or modify any of the terms and conditions contained in these Terms, or any policy or guideline applicable to the Services, at any time and in its sole discretion. If we do so, we will notify you at the e‐mail address you provide in your Registration Data, or we will post a notice in the Site or Web Application visible to you the next time you access the Web Application. Customers who do not agree with the changes may terminate their account with us in accordance with the terms of the Service Agreement. Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revisions on the Web Application and the Site, and your continued use of the Site or the Web Application after such time will constitute your acceptance of such changes or modifications. You should from time to time review the Terms and any policies and documents incorporated in them to understand the terms and conditions that apply to your use of the Site and the Web Application. The Terms will always show the ‘last updated’ date at the top. If you do not agree to any amended Terms, you must stop using the Site and the Web Application. If you have

24. Miscellaneous
If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. Worldwide Quest may assign any or all of its rights hereunder to any party without your consent. You are not permitted to assign any of your rights or obligations hereunder without the prior written consent of Worldwide Quest, and any such attempted assignment will be void and unenforceable. These Terms constitute the entire agreement between you and Worldwide Quest regarding your use of the Site and the Web Application, and supersede all prior or contemporaneous communications whether electronic, oral or written between you and Worldwide Quest regarding your use of the Site and the Web Application. The parties confirm that it is their wish that these Terms, as well as any other documents relating to this Terms, including notices, have been and shall be drawn up in the English language only. Les parties reconnaissent avoir convenue que la présente convention ainsi que tous documents, avis et procédures judiciaires qui pourront être exécutés, donnés ou intentées à la suite des présentes ou ayant un rapport, direct ou indirect, avec la présente convention soient rédigée en anglais.
